Vistria Group to Purchase Majority Stake in $14B Curi Capital

Registered investment adviser Curi Capital has sold a majority stake in The Vistria Group, a middle-market private investment firm. 

The capital will go towards funding investments across M&A, recruitment, and technology. 

Following the transaction, which is expected to close in late September, Curi’s current majority owner, Curi Holdings, will retain its stake alongside the RIA’s investor Wealth Partners Capital Group, which purchased a minority stake in March. 

Additionally, Curi’s branding and leadership will remain following the closing, while WPCG will continue to assist with potential growth strategies and acquisitions, Curi Capital stated. 

Vistria will become an ownership partner alongside Curi Capital’s employee owners and existing shareholders, including Curi Holdings. 

Terms of the deal were not disclosed. 

“[Curi Capital’s] ability to serve clients across the wealth spectrum, from a dedicated mass affluent offering to a family office practice built over decades for multi-generational families, is exactly the kind of durable, full-service platform we look to back,” said Boris Rapoport, senior partner and co-Head of Financial Services at The Vistria Group. 

In 2019, RIA MAI Capital Management formed a joint venture with Curi Holdings to launch Curi Capital, which oversaw roughly $400 million in assets under administration at the time. 

In 2023, Curi Holdings merged with RMB Capital to launch an $11.2 billion combined entity. The deal, which closed in January 2024, brought roughly 180 employees from both firms and established Curi RMB Capital’s headquarters in Chicago.
