Trian and General Catalyst Seeks to Take Janus Henderson Private 

Trian Fund Management and investor General Catalyst Group Management have announced a proposal to takeover Janus Henderson Group, in a deal that’s valued at $7.2 billion. 

Janus Henderson stated it would appoint a special committee to consider the proposal, which was received on October 26.  

Trian, which first invested in Janus Henderson in 2020, has two representatives who serve on Janus Henderson’s board and would be excluded from the review. 

The committee is expected to comprise directors not affiliated with Trian or General Catalyst, the asset manager said. 

Janus Henderson stated there is “no assurance” that there will be an agreement to the proposal by Trian, General Catalyst, or any other third parties. 

In a letter to Janus Henderson’s board of directors, Trian, which owns about 20.4% of the firm’s outstanding shares, said taking Janus Henderson private would grant the firm the opportunity to make more “effective” long-term investments in its product offerings, technology, and talent. 

If Janus Henderson does accept the proposal, the remaining ordinary shares that are not controlled by Trian will be acquired for $46 per share in cash. 

Janus Henderson said it manages $457 billion in assets under management.
