
TPG to Buy Sabre’s Hotel Reservation Platform for $1.1B
TPG has agreed to purchase Sabre Corporation’s Hospitality Solutions business for $1.1 billion, a deal that will establish Hospitality Solutions as a standalone company, independent from Sabre’s hotel B2B distribution operations. After accounting for taxes and fees, Sabre expects to net approximately $960 million from the sale, with plans to use most of these proceeds to pay down its debt.
Serving over 40% of the world’s top hotel brands, Hospitality Solutions offers a software platform that manages reservation and guest information systems.
TPG has a strong history of transforming technology businesses through strategic carveouts. The firm carved out cybersecurity firm McAfee from Intel in 2017, took it public in 2020, and later sold its enterprise business to Symphony Technology Group for $4 billion, while divesting the remaining segments to an investor consortium for over $14 billion.
Other successful TPG carveouts include acquiring Boomi, an integration platform, from Dell in 2021; purchasing Elite, a law firm management solutions provider, from Thomson Reuters in 2023; and rebranding Forcepoint’s cybersecurity business as Everfox in 2024.
The firm is investing through TPG Capital, its U.S. and European private equity platform.
Sabre’s board has approved the transaction, which is expected to close by the end of the third quarter. Evercore is serving as financial advisor to Sabre, with Haynes Boone providing legal counsel. William Blair is acting as financial advisor to TPG, with Davis Polk & Wardwell serving as legal counsel for the transaction.
