Salesforce to Acquire Informatica in $8B Deal, Expanding AI-Powered Data Management 

Salesforce has agreed to acquire data-management software company Informatica for approximately $8 billion, net of Salesforce’s existing investment in Informatica. Under the deal, Informatica’s Class A and Class B-1 common stock holders will receive $25 per share in cash. The acquisition will be financed using cash from Salesforce’s balance sheet and new debt. 

Upon completion, Salesforce intends to swiftly integrate Informatica’s technology, including its data integration, quality, governance, and unified metadata capabilities, into its ecosystem. This will enhance Agentforce and create a unified data pipeline with Master Data Management (MDM) on Salesforce’s Data Cloud. 

Marc Benioff, Chair and CEO of Salesforce, stated, “By uniting the power of Data Cloud, MuleSoft, and Tableau with Informatica’s industry-leading, advanced data management capabilities, we will enable autonomous agents to deliver smarter, safer, and more scalable outcomes for every company, and significantly strengthen our position in the $150 billion-plus enterprise data market.” 

Salesforce will also support Informatica’s ongoing strategy to develop AI-powered data management solutions, delivering a comprehensive platform to connect, manage, and unify data across cloud, hybrid, or multi-cloud environments. 

Previous acquisition talks between Salesforce and Informatica in 2024 did not result in a deal. Informatica, which was taken private in 2015 by Permira and the Canada Pension Plan Investment Board, returned to public markets in 2021, with Permira and CPIP retaining significant stakes. 

The transaction, approved by both companies’ boards, is expected to close early in Salesforce’s fiscal year 2027.  

J.P. Morgan Securities LLC is serving as financial advisor to Salesforce, and Wachtell, Lipton, Rosen & Katz and Morrison & Foerster LLP are serving as legal counsel to Salesforce. 

Goldman Sachs & Co. LLC is serving as exclusive financial advisor to Informatica, and Latham & Watkins LLP and Fenwick & West LLP are serving as legal counsel to Informatica.
