
Nuveen Unveils 1031 Exchange Platform with UPREIT Structure
Nuveen, TIAA’s investment manager with $1.3 trillion in assets under management, launched a 1031 real estate exchange platform aimed at helping advisors and clients transition real estate assets into tax-advantaged, institutionally managed investments.
The platform operates as an Umbrella Partnership Real Estate Investment Trust (UPREIT) program, allowing property owners to exchange proceeds from qualifying real estate sales for ownership interests in the Nuveen Global Cities Real Estate Investment Trust (GCREIT), a non-listed REIT targeting commercial properties in vibrant global cities.
Through the UPREIT structure, investors can defer capital gains taxes by converting sale proceeds into Delaware Statutory Trust (DST) interests. After a minimum two-year holding period, GCREIT may, at its discretion, convert these DST interests into operating partnership (OP) units, providing access to a diversified REIT portfolio’s income and potential future liquidity without the burdens of active property management.
