Charter Communications Acquires Cox Communications in $34.5B Deal 

Charter Communications has agreed to acquire Cox Communications in a $34.5 billion cash and stock transaction, merging their commercial and residential operations to create a powerhouse in broadband and mobile communications. The deal includes Charter acquiring Cox’s commercial fiber and managed IT businesses, while Cox Enterprises contributes its residential cable business to Charter Holdings. 

The transaction comprises $21.9 billion in equity and $12.6 billion in net debt and other obligations. Cox Enterprises will receive $4 billion in cash, $6 billion in convertible preferred units, and approximately 33.6 million common units, equating to a 23% stake in the combined entity. Within a year, the merged company will be rebranded as Cox Communications, with Spectrum as the consumer brand in Cox’s service areas. 

Chris Winfrey will remain CEO, and Alex Taylor will assume the role of Chairman. The transaction is expected to close in mid-2025, pending regulatory and shareholder approvals. 

The combined company will serve approximately 12 million passings and six million existing Cox customers, enhancing its ability to deliver high-speed broadband, mobile, and video services. The deal is expected to position the merged entity as the largest cable TV and broadband provider in the U.S., surpassing Comcast in subscriber numbers, according to industry reports.
