
American Family to Acquire Bowhead Specialty in $1.2B Deal
American Family Mutual Insurance Co. has agreed to acquire the Bowhead Specialty Holdings shares it does not already own in an all-cash transaction valued at approximately $1.2 billion.
Under the agreement, Bowhead shareholders will receive $34 per share, representing an 11% premium to the specialty insurer’s July 31 closing price. American Family will fund the acquisition with cash and other liquid investments on hand, and the deal is not subject to a financing condition.
Bowhead’s board approved the transaction, which is expected to close before the end of 2026. Completion remains subject to regulatory clearances, shareholder approval and other customary conditions.
“This transaction recognizes the strength of the Bowhead franchise and reinforces the strategic partnership with American Family,” Bowhead Chairman Matthew Botein said. He described the deal as the natural evolution of a longstanding relationship grounded in shared values and underwriting discipline.
American Family made its founding investment in Bowhead in 2020 and has remained a minority shareholder and strategic partner.
“We’re pleased to welcome Bowhead’s talented team and commercial specialty capabilities to American Family,” said Bill Westrate, chairman and CEO of American Family. He said the acquisition would diversify American Family’s commercial portfolio, broaden its product offerings and improve capital efficiency.
After the transaction closes, Bowhead will operate as a standalone entity within the American Family platform. Stephen Sills will remain Bowhead’s president and CEO, while the company’s name and brand will be retained.
Sills said American Family’s support helped Bowhead build its business and that the combination would deliver value to shareholders while preserving the insurer’s culture and disciplined underwriting approach.
