
AI Data Center Developer TECfusions to Go Public via SPAC at $4B Valuation
TECfusions, an AI infrastructure company focused on designing, building, and leasing next-generation data centers, has agreed to merge with special purpose acquisition company Apex Treasury Corp. in a business combination that would take TECfusions public on Nasdaq under the proposed ticker symbol TECF at a pre-money equity valuation of $4 billion.
Concurrent with the announcement, an undisclosed institutional investor entered into a PIPE subscription agreement for $35 million in securities at the same $4 billion valuation.
TECfusions’ strategy centers on adaptive reuse of existing real estate, low water usage cooling, and integrated power infrastructure to support large-scale compute deployments for hyperscalers, neocloud tenants, and enterprise AI customers.
The company operates across three U.S. markets: Clarksville, Virginia; Tucson, Arizona; and New Kensington, Pennsylvania. Current operating capacity includes 37 megawatts live and fully leased in Clarksville, 16 megawatts live and fully leased with an additional 12 megawatts contracted in Tucson, and 2 megawatts live and fully leased with 10 megawatts contracted in New Kensington.

Ajmal Rahman, chairman and co-CEO of Apex Treasury, said TECfusions has built a platform directly aligned with where the market is today — focused on power access, accelerated deployment, and AI-ready infrastructure.
TECfusions’ existing management team is expected to continue leading the combined company following closing. The transaction is expected to close in the fourth quarter of 2026.
