Volato Signs Up to $1B Equity Facility for AI Expansion
Volato Group has signed an agreement allowing it to sell up to $1 billion in common stock to an institutional investor, creating a potential funding source for its expanding artificial intelligence infrastructure business.
The company, which is rebranding as SOAR AI, entered the agreement Oct. 8 with DFU LLC, according to a Securities and Exchange Commission filing. Volato controls the timing and amount of sales and has no obligation to use the facility.
Proceeds are intended to support the company’s Ohio AI infrastructure campus and additional industrial sites under consideration in the United States and internationally.
Volato says the Ohio campus has 154 megawatts of power available, with a development roadmap reaching 480 megawatts.
In September, its Alignment Engine subsidiary signed two four-year, take-or-pay orders with a large AI customer, representing approximately $1.17 billion in aggregate contract value.
The orders provide for approximately $133 million in contractual customer prepayments and dedicated, single-tenant AMD graphics processing unit clusters. Contractual start dates are Dec. 31, 2026, and June 30, 2027.
“This facility is sized to support that opportunity, and it gives us the flexibility to fund growth on our timeline as we bring contracted capacity online,” CEO Chris Ensey said.
The corporate name change is expected to take effect Oct. 19, with trading under the SOAR AI name beginning Oct. 20. Its ticker will remain SOAR.
